1. Subject

The present terms and conditions are an agreement between for one part the RAD corporation (hereinafter www.rad.co or RAD) which is headquartered at 5 Chemin de Terrefort, 31700 Cornebarrieu, France.

These general conditions of sale of the company www.rad.co define the rights and obligations of the parties in connection with the sale of products by www.rad.co to the customers of the site, presently

The Terms represent all obligations of the parties.

The parties agree that their relations will be exclusively governed by this contract, to the exclusion of any other conditions, including those applicable to in-store sales.

Rad reserves the right to adapt or modify at any time the present conditions.

If modified, it will be applied to each order conditions prevailing at the date of the order.

If a condition is found to be lacking, it would be deemed to be governed by the procedures in force in the area of distance selling, in accordance with French law alone will be applicable.

The Customer must be:

  • Either a physical person of at least 18 years of age and have full legal capacity
  • Either a physical person less than 18 years of age and be emancipated

2. Products and Availability

Rad offers the sale of ready to wear items, designer items and fashion accessories.

Product offerings and prices are valid as long as they are visible on the website, and until the stock has run out.

Rad does not guarantee in any way the availability of the products for sale during a precise period. www.rad.co commits to notify by email or telephone all customers who have placed an order of any unavailable product.

In no way can the Customer engage the responsibility of Rad assuming he/she would validate the order of an unavailable product.

In case of debit of the amount of the order regarding an unavailable product, Rad commits to, within 10 days, according to the Customers’ choice, either reimburse the Customer, or issue a credit of the amount of the order.

In case of unavailable product of one of the products of an order composed of several products, Rad would send the rest of the order.

3. Compliance of the order

The products offered for sale are presented and detailed with the greatest possible precision. The information listed on each product page are those reported to Rad by the suppliers from which they are acquired.

However, the responsibility of Rad can not be held liable for errors or omissions in product descriptions. The photographs illustrating the products offered for sale are out of contract.

In case of non-compliance of the product delivered to the customer, it may be returned to Rad within a maximum period of 30 days and may request:

  • Either to be delivered an identical product to the one ordered within the limits of available stock,
  • Or be refunded the price of the product or service within 30 days of the request.

The cost of returning the nonconforming product and the possible delivery of another product will be borne by Rad.

These provisions do not deprive the customer of his right of withdrawal as guaranteed in Article 7.

4. Order and Payment

The Customer who wishes to buy one or several items from the website Rad must comply with the following processes:

- The Customer selects the product(s) that he/she wishes to purchase by clicking on the icon “Add to Cart”,

- The Customer, after having verified his/her selection (size, colour, price…), validates the choice of the products chosen by clicking on the icon “Confirm and order” ;

The Customer shall then:

  • If he/she is already a customer at Rad: complete the form indicating only his/her email address and password that was used for the first order;
  • If he/she is a new customer of Rad: complete the form indicating his/her name, surname, address, email address. A password will be requested. The Customer is free to modify the password.
  • A summary of the command is indicated to the Customer as well as shipping fees. He/she must click of the icon “confirm order” to continue and agrees to fully and unreservedly accept all the present Terms and Conditions.
  • The Customer then accesses a page where he/she must specify the delivery and billing address and his/her payment information. The Customer must click on the icon “pay by credit card” or “pay with Paypal” and fill out the secure payment form “Paypal” or “Stripe” of his/her order.

The Customer confirms that he/she is fully authorized to use the credit card or Paypal account to pay for this order, and that such payment provides access to sufficient funds to cover all the costs of the services of Rad.

www.rad.co assumes no responsibility for any dispute between the Customer and the companies “Paypal” and “Stripe”.

As soon as the order is finalized, www.rad.co will confirm the order to the Customer in a summarizing email.

5. Price

The product’s price is displayed in Euro and includes VAT. The price is valid as long as they are shown on the website.

The shipping costs of the Customer's order will be shown before the final confirmation of the order.

Failure of the Customer to respect these obligations under these Terms of Sale, including fraud or attempted fraud, and any incident of payment could result in the suspension of access to Rad without prejudice to any damages that could be sought by Rad. Rad reserves the right to refuse any order from a Customer with whom there is a dispute.

6. Shipping

The Customer must fill in carefully all the fields of the delivery form, including his/her delivery address and include a landline or mobile phone number. Neither Rad, nor the courier or delivery man can be held liable for failure of delivery due to inaccuracy or error in the delivery address.

The shipping times indicated in the confirmation of the order are calculated in working days.

Pursuant to Article L. 114-1 of the Consumer Code, in case of delay of more than 7 days of delivery indicated on the order form for any reason other than force majeure (including strike), the Customer shall exercise this right by email and by letter with acknowledgement of receipt to the company RAD, 5 chemin de Terrefort, 31700 Cornebarrieu, France, at the latest within 30 working days following the delivery date. The contract will be considered broken upon receipt of the letter if the product has not been delivered between the sending and receipt of the letter.

A refund will be made by any means of payment, as soon as possible and no later than within 30 days of receipt by Rad of the registered letter with acknowledgement of receipt for the cancellation of the order. The Customer shall not be entitled to any penalty or interest on arrears.

In case of failure to deliver on the day of appointment because of inadequate information, lack of access, or of passages not previously reported by the Customer or of the absence of the Customer in violation of commitments made at the contract, new delivery costs may be charged by Rad, who will contact the customer to pay for the new shipping before any re-delivery of the product. In case of non-payment of the fees, Rad reserves the right not to proceed with the delivery of the product. The risk of damage resulting from these constraints will also be borne by the Customer.

Except in cases of non-compliance or hidden defects, no claim and/or subsequent reservations may be made by Rad, after receipt of the Products by the Customer (without right of withdrawal).

7. Right of withdrawal

Under the Article L 121-20 of the Consumer Code, the Customer has a right to withdraw and return the products purchased on the Rad site within 7 days from the date of delivery thereof (the date of the postmark).

 The Customer's refund will be made by any means of payment within 30 days of receipt by Rad of the request for withdrawal and subject to returning the product.

The refund will include all sums paid by the Customer, ie the purchase price plus any shipping charges.

8. Limitations of Responsibility

The company Rad is subject to an obligation vis-à-vis the Customer.

It is especially understood that any perturbation in the service for any reason whatsoever, any exterior intrusion or infection by a computer virus, will not be held responsible by Rad.

In case of dissatisfaction of a customer for any reason, he/she cannot claim any other compensation other than the reimbursement of his/her order.

Moreover, the Website shall not be held responsible for the non-execution of a contract, in the emergence of a case of force majeure especially in the event of total or partial strikes from the postal services, carriers, and other natural disasters such as floods or fires.

9. Personal Data and Protection of Privacy

According to the law number 78-17 of 6 January 1978 “Information technology and Liberty” the Customer has a right to access, to rectify, and to delete their information recorded by www.rad.co.

Under the Act of 6 January 1978, Rad has a simplified declaration and commitment to comply with the declaration to the CNIL under number 1703370.

Rad agrees not to disclose to third parties the information provided by the Customer on the site. These are confidential. They will only be used to reinforce and personalise the communication including email information.

Rad does not sell or lend to third parties any personal data of the Customer.

The Customer may at any time contact Rad and oppose the use of their personal data recorded by Rad. He/she may simply send a message via the contact page.

10. Intellectual Property

All elements of the website www.rad.co ,whatsoever, are protected by copyright, trademarks, or patents. They are the exclusive property of Rad. The reproduction of all or part of www.rad.co is considered a counterfeit in the sense of the Intellectual property code.

11.  Force majeure

Pursuant to Article 1148 of the Civil Code, Rad will not be liable or deemed to have committed a mistake in the processing of your application if any delay or failure results from a case of force majeure.

These are considered fortuitous events or force majeure exempting all responsibility of all happenings or irresistible and unforeseeable circumstances beyond the control of the parties notably in the event of total or partial strike of transportation and natural disasters.

12. Divisibility

The fact that any provision of the Terms becomes void, enforceable due to any law, regulation or following a court decision, can not challenge the validity, legality and enforceability of the remaining provisions of the Terms and shall not relieve the Customer of the performance of its contractual obligations.

13. Disputes

The Terms will be executed and interpreted in accordance with French law. The parties shall seek before any dispute, an amicable agreement.

In case of disagreement or dispute concerning the validity, interpretation or enforcement of these Terms and Conditions, the courts of Paris will have jurisdiction.

Conditions Générales de Vente

Préambule

Les présentes Conditions Générales de Vente sont conclues entre, d'une part, RAD et d’autre part, les internautes qui souhaitent effectuer une commande (ci-après le « Client ») sur le site Internet de RAD accessible à l'adresse: http://www.RAD.co. (ci-après dénommées ensemble « les Parties »).
Le Client désigne toute personne physique effectuant un achat sur le Site.
Le Client doit être :

- soit une personne physique âgée de plus de 18 ans et avoir la pleine capacité juridique de contracter ;

- soit une personne physique âgée de moins de 18 ans et être émancipée ;
  

Le Site désigne le portail www.rad.co et/ou toute autre adresse que RAD lui substituerait ou lui adjoindrait.

Une Commande : demande d’un ou plusieurs produits passées par un Client auprès de RAD dans les conditions prévues dans les présentes CGV.

Les Produits : ce terme désigne les produits commercialisés par RAD et proposés à la vente sur le Site.

Les présentes CGV régissent la vente de tous les produits présentés sur le Site  RAD.

Les parties conviennent que leurs relations seront exclusivement régies par les présentes CGV, à l'exclusion de toute autre condition.

RAD se réserve la possibilité d'adapter ou de modifier à tout moment les présentes conditions. En cas de modification, il sera appliqué à chaque Commande les conditions en vigueur au jour de la Commande. Si une condition venait à faire défaut, elle serait considérée être régie par les usages en vigueur dans le secteur de la vente à distance, et ce conformément à la loi française qui sera seule applicable

Toute commande passée auprès du Site suppose l’acceptation entière, sans réserve et sans conditions des CGV en vigueur au jour de ladite commande.
 

Article 1 - Société

RAD est une société par actions simplifiée au capital de 1 266 € dont le siège social est situé au 5 chemin de Terrefort, 31700 Cornebarrieu, France et enregistrée au Registre du Commerce et des Société de Paris sous le numéro 799 872 791, ci-après RAD.
 

Article 2 - Objet

Les présentes CGV définissent les droits et obligations des Parties ainsi que l'ensemble des modalités de vente, notamment la commande, le paiement, la livraison entre RAD et le Client.
 

Article 3 - Produits et Disponibilité

RAD offre à la vente des Produits de prêt-à-porter et accessoires.
RAD garantit l'authenticité des produits proposés à la vente. Les offres de produits et prix sont valables tant qu'elles sont visibles sur le Site, et ce jusqu'à épuisement des stocks.
RAD ne garantit d'aucune façon le maintien des produits à la vente pendant une période précise. RAD s'engage à prévenir par email ou par téléphone tout Client qui aurait passé Commande d'un produit indisponible. En aucune façon, le Client ne saurait engager la responsabilité de RAD dans l'hypothèse où il aurait validé la Commande d'un produit indisponible. En cas de débit du montant d'une Commande relatif à un produit indisponible, RAD s'engage dans un délai de 10 jours selon le choix du Client, soit à rembourser le Client, soit à lui émettre un avoir du montant de sa Commande.
En cas de rupture de stock de l'un des Produits d'une Commande comportant plusieurs Produits, RAD expédie le reste de la Commande.
Les produits proposés à la vente sont présentés et détaillés avec la plus grande précision possible.
 

Article 4 - Modalités de Commande et Paiement

Le Client qui souhaite acheter un ou plusieurs Produits sur le site internet www.RAD.co doit se conformer au processus suivant:
- Le Client sélectionne le ou les Produits qu'il désire acquérir en cliquant sur l'icône «Ajouter au panier» :
- Le Client, après avoir vérifié sa sélection (taille, prix...) valide le choix du ou des produits sélectionnés en cliquant sur l'icône «commander» ;
Le Client doit ensuite :
-       S’il est déjà Client de RAD : renseigner le formulaire en y indiquant uniquement son adresse email et son mot de passe qui lui a été communiqué lors de son inscription;
-       
S’il est nouveau Client de RAD : renseigner le formulaire en y indiquant ses nom, prénom, coordonnées, adresse email.
Un mot de passe lui est alors demandé.
Les frais de port de la Commande sont alors indiqués au Client.
Le Client accède ensuite à une page de paiement récapitulant sa commande.
Le Client peut payer par CB ou «payer par paypal» et remplir le formulaire de paiement sécurisé «BetoBill» ou «Paypal» de sa Commande RAD se dégage de toute responsabilité en cas de litige entre le Client et les sociétés "Paypal" et "BetoBill".
Lorsque que la Commande est finalisée, RAD confirme la Commande au Client en lui adressant un email récapitulatif.
 

Article 5 - Prix

Le prix des Produits sont affichés en euros. La TVA est incluse dans le prix affiché au taux en vigueur en France pour les produits concernés.
Les frais d'expédition de la Commande du Client lui seront indiqués avant la validation définitive de celle-ci.
 

Article 6 - Droit de Retour des Articles

Conformément aux dispositions de l’article L121-20-12 du Code de la consommation, le Client particulier dispose d'un délai de 14 jours calendaires à compter de la réception du (des) Produit(s) commandés pour exercer, auprès de RAD, son droit de rétractation, sans avoir à justifier de motifs ni à payer de pénalité.
En cas d'exercice du droit de rétractation dans le délai susvisé, seul le prix du ou des Produits acheté(s) et les frais d'envoi seront remboursés, au plus tard quatorze (14) jours suivant la date à laquelle le droit a été exercé, les frais de retour restant à la charge du Client, à l’exception d’une erreur d’expédition incombant à RAD.
Les Produits sont à retourner dans leur état d'origine et complets (essayé mais non porté) dans un conditionnement identique à celui utilisé lors de l'expédition.
Le Client exerce son droit de rétractation directement du Service Client de RAD à l’adresse suivante :

Article 7 - Limitation de Responsabilité

RAD est soumise à une obligation de moyen vis-à-vis du Client. Il est expressément convenu que toute perturbation dans la fourniture du service pour quelque raison que ce soit, toute intrusion extérieure ou infection par un virus informatique, ne saurait engager la responsabilité de RAD dès lors que celle-ci est imputable au consommateur ou du fait d’un tiers. De plus, le Site ne saurait être tenu pour responsable de l’inexécution d’un contrat conclu, due à la survenance d’un événement de force majeure et notamment en cas de grève totale ou partielle des services postaux, de transporteurs, et de catastrophes causées par inondations ou incendies.
En cas d'insatisfaction d'un Client pour quelque raison que ce soit, il ne pourra prétendre à une quelconque indemnité autre que celle d’une valeur équivalente au(x) produit(s) acheté(s).
 
 

Article 8 - Données Nominatives et Protection de la Vie Privée

Conformément à la loi n°78-17 du 6 janvier 1978 "Informatiques et Libertés", le Client bénéficie d'un droit d'accès, de rectification et de suppression des données le concernant enregistrée par www.RAD.co. Le Client peut à tout moment contacter RAD et s'opposer à l'utilisation commerciale de ses données personnelles enregistrées par RAD. Pour cela il suffit d'envoyer un message via la page contact du site.
 
 

Article 9 - Propriété Intellectuelle

Tous les éléments du Site quels qu'ils soient sont protégés par le droit d'auteur, des marques ainsi que des brevets. Ils sont la propriété exclusive de RAD. La reproduction de tout ou partie de RAD et/ou du Site est constitutive d'une contrefaçon au sens du Code de la Propriété Intellectuelle.
 
 

Article 10 - Force Majeure

RAD ne sera pas responsable de l’inexécution de ses obligations en cas de survenance d’un cas de force majeure, défini comme tout événement imprévisible, irrésistible et résultant de circonstances extérieures, rendant impossible l’exécution du Contrat, notamment une grève partielle ou totale de transporteur ou encore une catastrophe naturelle.

Article 11 - Droit - Litiges

Les CGV en langue française seront exécutées et interprétées conformément au droit français.Le Client, par son acceptation des présentes, donne irrévocablement compétence exclusive aux juridictions françaises.
En cas de litige, le Client s’adressera par priorité à RAD pour obtenir une solution amiable. A défaut, le tribunal compétent en cas de litige sera celui du lieu de domicile du défendeur ou, au choix du demandeur, du lieu de livraison effective du produit.
